1. Introduction

These Terms & Conditions form the agreement between NiTSY.UK (“we”, “us”, “our”) and The Client (“you”, “your”). By subscribing to NiTSY.UK, you agree to these Terms. NiTSY.UK provides a fully managed digital presence service, including website creation, SEO, content, and visibility management.

2. Service Overview

NiTSY.UK delivers: a multi-page website, ongoing website management, SEO maintenance, Google Business Profile optimisation, directory consistency, social content creation and scheduling, weekly visibility cycles, monthly visibility summaries, Account Manager support, Social Media Specialist support, and technical escalation. NiTSY.UK does not guarantee specific rankings, traffic numbers, or sales. Unless otherwise agreed in writing, social media management as standard covers LinkedIn, Facebook, and Instagram only. Additional platforms are available as add-ons.

3. Setup Fee

A Setup Fee is payable upfront before any work begins. No work will commence until the Setup Fee has been received in full. This covers website creation, SEO-ready structure, Google Business Profile setup, directory optimisation, brand alignment, and initial keyword mapping. The Setup Fee is non-refundable once work has started.

4. Monthly Subscription Fee

The first Monthly Subscription Fee becomes due when the first draft of the website is delivered. This activates the monthly service and marks the start of the minimum term. All Monthly Subscription Fees are billed in advance, due in the final week of each month. Monthly fees begin at the scheduled point in the onboarding timeline, even if the client has not provided required information. Add-Ons and bespoke work are billed separately.

4.1 Annual Prepayment Option

Clients may choose to pay for 12 months upfront at a 25% discount (equivalent to 3 months free). Annual prepayment is non-refundable for the full 12-month period due to the significant setup costs and launch work required. This option locks in your rate for the full year and provides better cash flow planning for both parties. After the initial 12 months, you may choose to renew annually or move to monthly billing.

5. Minimum Term & Notice Period

The minimum term is 12 months, beginning on the date the first Monthly Subscription Fee is paid. A 3-month notice period is required. Notice may only be given after month 9, meaning the earliest end date is the 12-month anniversary. After the initial term, the subscription moves to a monthly rolling contract, still requiring 3 months’ notice. All fees paid during the minimum term are non-refundable, as they cover the substantial setup investment, launch work, and ongoing service delivery.

6. Client Responsibilities

You agree to: provide accurate organisation information, supply brand assets (logo, colours, images), respond to requests in a reasonable timeframe, maintain access to your platforms, and notify us of changes to your organisation. Delays in providing information may delay visibility improvements but do not delay billing.

7. Access Requirements

7.1 Website Access: If you have an existing website, you must provide full admin access to your current website, hosting provider, domain registrar, and permission to make DNS changes. 7.2 Google Access: You must provide admin access to your Google Business Profile and Gmail/Google Workspace (if applicable). 7.3 Social Media Access: Full admin rights to any social media channels we manage must be provided once the website is approved. If access is removed or restricted, NiTSY.UK cannot deliver the service.

8. Payment Terms

The Setup Fee is paid upfront. The first Monthly Subscription Fee is due on delivery of the first website draft. Ongoing fees are billed in advance. Payment is due immediately upon invoicing. All fees are non-refundable.

8.1 No Refunds Policy

Due to the substantial upfront investment in setup, launch work, and service delivery, all fees paid are non-refundable during the 12-month minimum term. This includes the Setup Fee, Monthly Subscription Fees, and Annual Prepayment. The high setup costs include: custom website design and development, SEO foundation work, Google Business Profile optimization, directory setup across 20+ platforms, brand alignment and content creation, and dedicated onboarding support. These costs are incurred immediately and cannot be recovered if service is cancelled early.

8.2 Service Suspension for Non-Payment

If payment is not received by the due date, NiTSY.UK reserves the right to pause all services immediately, stop social posting, halt visibility cycles, and suspend support access. Services resume once payment is received.

8.3 Interest & Recovery

If payments remain outstanding, recovery action may be taken and you will be responsible for any reasonable recovery costs incurred. Interest may be charged at a commercially reasonable rate.

8.4 Charity & Non-Profit Discount — Verification Requirement

By selecting the “We’re a Charity or Not for Profit Organisation” option during the sign-up process, you confirm that your organisation is a registered charity or non-profit entity. You must provide satisfactory evidence of your charitable or non-profit status before the discounted rate can be applied. Acceptable evidence includes, but is not limited to: a valid Charity Commission registration number, Companies House documentation confirming non-profit status, or equivalent official registration documentation. NiTSY.UK reserves the sole and absolute right to assess, accept, or reject any evidence provided, without the right of appeal. If the evidence provided is deemed insufficient or is rejected by NiTSY.UK, the full standard pricing shall apply immediately. No work will commence until the full applicable fees (whether at the standard rate or the verified charity rate) have been paid in full. Claiming charity or non-profit status without providing valid evidence, or providing fraudulent or misleading documentation, may result in immediate termination of the service agreement.

9. Cancellation Policy

The 12-month minimum term is binding. Cancellation is not permitted until the minimum term has been completed. A 3-month notice period is required. Notice may only be given after month 9. To cancel, email your Account Manager and we will confirm your final billing date.

10. Transfer of Service

NiTSY.UK believes that small organisations deserve to stay visible — with us or without us. When you leave, we ensure a smooth, interruption-free transition.

10.1 What You Keep

You receive full ownership and control of: all website pages, content, images, copy, SEO metadata and keyword structures; your Google Business Profile, reviews, posts, and visibility history; admin access to all social profiles and content; all directory listings and login details; and your complete visibility history.

10.2 What NiTSY.UK Retains

NiTSY.UK retains ownership of: the NiTSY.UK platform, mascot assets, templates, automation tools, proprietary frameworks, internal processes and workflows, and internal documentation.

10.3 Transfer Timeline

Transfers are completed within a defined timeframe after cancellation confirmation. Your Account Manager prepares all handover materials.

10.4 No Interruption Guarantee

NiTSY.UK guarantees: no downtime, no loss of visibility, no broken links, no disruption to your Google presence, and no interruption to your website.

11. Pause Policy

You may pause your subscription for a defined period. A holding fee applies. No content or visibility cycles run during pause. Reactivation requires notice.

12. Service Limitations & Disclaimers

NiTSY.UK is not responsible for: third-party platform outages, hosting failures, social media downtime, Google service interruptions, algorithm changes, acts of God, natural disasters, events outside our reasonable control, client-side technical problems, or delays caused by missing information. These events do not constitute a breach of contract.

13. Intellectual Property

You own your brand assets. NiTSY.UK owns its platform, templates, mascot, and internal processes. Content created for you is licensed for your use. Website designs may use NiTSY.UK frameworks.

14. Data & Privacy

NiTSY.UK handles your data responsibly and securely. We will never sell or share your data except for essential service delivery.

15. Pricing Amendments & Special Offers

NiTSY.UK reserves the right to amend its pricing structures at any time without prior notification. Any changes to pricing will apply to new subscriptions and renewals from the date of change. Existing clients on a current minimum term will not be affected until their next renewal period. Any special offers, discounts, or promotional pricing are offered at NiTSY.UK’s sole discretion and may be time-limited. NiTSY.UK reserves the right to withdraw, modify, or discontinue any special offer at any time, without prior notice. Special offers cannot be combined unless explicitly stated and do not constitute a permanent reduction in standard pricing.

16. Changes to Terms

NiTSY.UK may update these Terms with notice. Continued use of the service constitutes acceptance of updated Terms.

17. Governing Law

These Terms are governed by the laws of England & Wales.
